1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Adjutant managed AI assistant, voice, and software services (the "Service"), provided by [MoreGain Capital, LLC] ("Adjutant," "we," "us"). By subscribing to or using the Service you agree to these Terms, our Privacy Policy, and the Messaging Terms and Disclosures below.

2. The Service

Adjutant is a fully managed AI assistant that, on a subscriber's ("you," "your") authorization, answers and places phone calls, screens and routes callers, transfers calls to you, records and transcribes calls, extracts action items and decisions, and connects to third-party tools you authorize. You are the principal and decision-maker; Adjutant escalates to you for judgment. We provide the software and infrastructure; we do not provide human agents on your calls.

4. Call recording & AI-assistance disclosure

The Service records and transcribes calls to provide memory, transcripts, and decision features. Where required by the jurisdiction of any party to a call, the Service plays or you must provide a disclosure substantially as: "This call may be recorded and is assisted by an AI assistant." You are responsible for ensuring lawful consent for recording given the locations of all parties. We provide configurable, state-aware disclosure tooling to assist compliance; you remain the controller of your calls.

5. AI-generated voice

The Service uses artificial or prerecorded voice technology. For outbound calls, applicable law (including the FCC's ruling that AI-generated voices are "artificial" under the TCPA) may require prior express consent from the called party. You are responsible for obtaining and maintaining records of such consent; the Service provides consent-capture and suppression tooling to assist.

6. Messaging Terms (SMS / A2P 10DLC)

Program description

Adjutant may send you and, at your direction, your contacts SMS/text messages related to account notifications, call summaries, action items, appointment confirmations, and customer-care communications tied to your use of the Service.

Consent & opt-in

By providing a mobile number and opting in during signup or in the app, you consent to receive such messages. Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase. For messages sent to third parties on your behalf, you represent that you have obtained their prior express consent.

Opt-out & help

Reply STOP to any message to unsubscribe; you will receive a final confirmation and no further messages. Reply HELP for assistance, or contact [[email protected]]. Carriers are not liable for delayed or undelivered messages.

Supported carriers

Messaging is supported on major U.S. carriers; carrier participation may change without notice.

7. Third-party services & integrations

The Service relies on sub-processors (e.g., telephony, AI model, integration, and payment providers) listed in our Privacy Policy. When you connect a third-party account (email, calendar, CRM), you authorize the Service to access it per the scopes you grant; you may revoke access at any time.

8. Fees & billing

Subscriptions are billed in advance on a recurring basis via our payment processor. Plans, included usage, and metered overage (e.g., call minutes) are described at checkout. Fees are non-refundable except as required by law. We may change pricing on renewal with notice.

9. Data, privacy & retention

Our handling of your data, sub-processors, retention (including call audio auto-deletion at 90 days by default, longer retention of transcripts and derived facts, and your export/deletion and legal-hold controls), and security are described in the Privacy Policy, incorporated by reference.

10. Confidentiality & security

We isolate each customer's data and apply administrative, technical, and physical safeguards. No method of transmission or storage is perfectly secure; we do not guarantee absolute security.

11. Disclaimers & limitation of liability

The Service is provided "as is." Adjutant does not guarantee that the AI will be error-free or that any particular outcome will result. To the maximum extent permitted by law, Adjutant's aggregate liability is limited to the fees you paid in the 12 months preceding the claim, and we are not liable for indirect or consequential damages. You are responsible for your own legal and regulatory compliance in your use of the Service.

12. Indemnification

You will indemnify Adjutant against claims arising from your use of the Service in violation of these Terms or applicable law, including claims by parties you called, messaged, or recorded.

13. Termination

You may cancel at any time; access continues through the paid period. We may suspend or terminate for breach. Upon termination you may export your data; we delete it per the Privacy Policy schedule unless a legal hold applies.

14. Changes; governing law; contact
